1. Agreement to Terms

By accessing or using the website at https://www.vistaxpert.in or commissioning services from Vistaxpert Solutions LLP (“Vistaxpert”, “we”, “us”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please refrain from using our services.

2. Scope of Services

Vistaxpert provides digital solutions including, but not limited to, website development, custom SaaS product engineering, mobile application development, conversion rate optimization (CRO), search engine optimization (SEO), and digital growth marketing. Specific deliverables, sprint schedules, and commercial milestones are defined in formal Statements of Work (SOW) or project proposals.

3. Intellectual Property Rights

Upon receipt of full payment for agreed milestones, all custom code, user interface designs, and digital assets developed exclusively for the client transfer entirely to the client. Vistaxpert retains the right to display non-confidential deliverables in case studies and marketing portfolios unless explicitly governed by a separate mutual Non-Disclosure Agreement (NDA).

4. Payment & Delivery Milestones

Invoices are issued according to the milestones detailed in each client agreement. Payments are due within the terms specified on the invoice. Any delay in payments may cause a corresponding reschedule of sprint delivery timelines.

5. Warranties & Disclaimers

We pride ourselves on technical excellence, adhering to high standards of code quality, security, and performance. However, third-party search engine algorithm changes, API modifications by external vendors, or client modifications to production code are beyond our direct control and are provided without implicit commercial guarantees.

6. Limitation of Liability

In no event shall Vistaxpert Solutions LLP or its partners be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our website or services. Total liability shall not exceed the fees paid by the client under the applicable agreement.

7. Governing Law & Jurisdiction

These terms shall be governed by and construed in accordance with the laws of India. Any legal proceedings or disputes arising under these terms shall be subject exclusively to the courts of Pune, Maharashtra, India.
